1. Acceptance of Terms
By accessing or using Kontraq ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a legally binding agreement between you and Kontraq, governed by the laws of India, including the Indian Contract Act, 1872 and the Information Technology Act, 2000.
2. Platform Description
Kontraq is a B2B digital marketplace connecting professionals in the Indian civil construction industry. The Platform facilitates:
- Posting and discovery of construction jobs and tenders
- Bidding on construction projects and material requirements
- Material procurement and supplier matching
- Profile management, ratings, and reviews
- Project management tools
Kontraq is a marketplace facilitator and is not a party to any contract, agreement, or transaction between users.
3. Eligibility & Registration
- You must be at least 18 years of age
- You must be an authorised representative of the business entity you register
- One account per business entity (multiple accounts for the same entity are not permitted)
- You must provide accurate, current, and complete business information during registration and keep it updated
- You are responsible for maintaining the confidentiality of your account credentials
4. User Roles & Responsibilities
4.1 Builders
- Post accurate and complete job/tender descriptions with Bill of Quantities (BoQ)
- Honour awarded bids and maintain fair dealing with contractors and suppliers
- Provide honest ratings and reviews upon project completion
4.2 Contractors
- Submit genuine bids with realistic pricing and timelines
- Maintain accurate skill profiles and business credentials
- Honour accepted bids and fulfil contractual obligations
4.3 Suppliers
- Provide accurate pricing, availability, and delivery information
- Fulfil awarded material bids within agreed terms
- Maintain updated product/material catalogues
5. Bidding & Tendering Rules
- All bids must be genuine and submitted in good faith with the intention to honour them if accepted
- Bid manipulation, collusion, or artificial inflation/deflation of prices is strictly prohibited
- Once a bid is awarded, both parties are expected to proceed in good faith. Unjustified withdrawal may result in negative reviews or account action
- Job posters may close, cancel, or modify tenders before awarding bids
- Kontraq does not guarantee that any bid will be accepted or that any job will receive bids
6. Ratings & Reviews
- Reviews must be honest, factual, and relevant to the transaction
- Reviews are subject to a 14-day double-blind window — both parties submit reviews independently before they are published
- Prohibited: false reviews, defamatory content, personal attacks, threats, or spam
- Kontraq reserves the right to remove reviews that violate these guidelines
- Published reviews cannot be edited or deleted by users
7. User Content & Intellectual Property
You retain ownership of all content you upload to Kontraq (photos, documents, project descriptions, etc.). By uploading content, you grant Kontraq a non-exclusive, royalty-free, worldwide licence to display, store, and use such content solely for the purpose of operating the Platform.
You must not upload content that infringes on any third party's intellectual property rights. Kontraq's name, logo, and platform design are proprietary and may not be used without written permission.
8. Prohibited Conduct
You agree not to:
- Provide false, misleading, or fraudulent information
- Impersonate another person or business entity
- Manipulate bids, reviews, or ratings
- Harass, threaten, or abuse other users
- Use the Platform for any illegal activity
- Attempt to circumvent the Platform to conduct off-platform transactions to avoid accountability
- Scrape, harvest, or collect data from the Platform without authorisation
- Upload malware, viruses, or harmful content
9. Platform Liability
Kontraq is a marketplace facilitator and is not a party to transactions between users. Accordingly:
- We are not liable for disputes between Builders, Contractors, or Suppliers
- We do not guarantee the quality, safety, legality, or timeliness of work performed or materials supplied
- We do not verify the accuracy of bids, job descriptions, or user credentials beyond our stated verification processes
- Our liability is limited to direct damages and shall not exceed the amount paid by you to Kontraq in the 12 months preceding the claim, or ₹1,00,000 (Rupees One Lakh), whichever is less
- We are not liable for indirect, incidental, consequential, or punitive damages
10. Indemnification
You agree to indemnify and hold Kontraq harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third party's rights.
11. Account Suspension & Termination
- Kontraq may suspend or terminate your account immediately for fraud, violence, or serious policy violations
- For other violations, we will provide reasonable notice before suspension
- You may delete your account at any time through profile settings
- Upon termination, your data will be handled as described in our Privacy Policy
12. Dispute Resolution
Any dispute arising out of or in connection with these Terms shall be resolved as follows:
- Negotiation: Parties shall first attempt to resolve the dispute amicably through direct communication
- Arbitration: If negotiation fails, the dispute shall be referred to a sole arbitrator appointed under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be in India
- Jurisdiction: The courts of India shall have exclusive jurisdiction over any matters not subject to arbitration
13. Governing Law
These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and applicable rules and regulations.
14. Modifications to Terms
Kontraq reserves the right to modify these Terms at any time. Material changes will be communicated via platform notifications. Continued use of the Platform after changes constitutes acceptance. If you disagree with any changes, you must stop using the Platform and delete your account.
15. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
